Terms & Conditions
1. Scope of Work
The services and products provided—including FM 2510-certified flood protection systems, Quick-Fit Buckled Flood Doors from Shanghai Weiwang Technologies Co. Ltd, INCA Firestop materials, S-5 Wind Clamps, Seismic Gas Shutoff Valves, and RSBP Explosion Suppression Systems—will be delivered strictly as per the approved proposal, drawings, and specifications agreed upon with the client.
2. Compliance & Standards
All solutions shall be supplied and installed in accordance with applicable FM, ATEX, and international safety standards. The client agrees to cooperate during inspections, testing, and certification processes required for compliance.
3. Pricing & Payment Terms
All prices quoted are exclusive of taxes, duties, permits, and logistics charges unless otherwise specified. Payments must be made as per the agreed schedule. Delayed payments may result in project suspension or additional charges.
4. Delivery & Installation
Delivery timelines are estimates and may vary based on manufacturing schedules, import clearances, site readiness, or unforeseen circumstances. The client is responsible for ensuring site accessibility, utilities, and safety compliance required for installation.
5. Warranty & Liability
Products are covered under manufacturer warranty as specified in documentation. Warranty does not apply to damage caused by improper use, unauthorized modification, force majeure events, or lack of maintenance. Liability is limited to repair or replacement of defective components and does not include indirect or consequential losses.
6. Client Responsibilities
The client must provide accurate site data, structural details, and risk information. Required approvals, permits, or building compliance certificates must be obtained by the client unless stated otherwise. Any delays caused due to incomplete site readiness may impact delivery timelines.
7. Maintenance & Service Obligations
The client must follow the recommended maintenance schedule for all installed systems, including firestops, flood barriers, wind clamps, and gas shutoff valves. Failure to maintain systems as prescribed may void warranties and compliance certifications.
8. Confidentiality
All drawings, designs, technical documents, and proprietary information shared between both parties shall remain confidential and cannot be shared with third parties without written consent.
9. Cancellation & Termination
Order cancellations or contract termination must be communicated in writing. Costs incurred for materials, fabrication, engineering, or mobilization up to the date of cancellation will be chargeable.
10. Force Majeure
Neither party shall be liable for failures or delays caused by events beyond reasonable control such as natural disasters, floods, fires, pandemics, strikes, or governmental restrictions.
11. Governing Law & Dispute Resolution
All transactions and agreements shall be governed by the applicable laws of the jurisdiction specified in the contract. Any disputes shall be resolved through negotiation, followed by arbitration if required.
